MPA 670 WK4 DISCUSSION – Governor’s Administrator

You are the Governor’s Administrator for the State of Error.  For the past several years, the State’s contracts for the procurement of supplies and services have been plagued with problems, such as high costs, ineffective bidding, cost overruns, performance, faulty deadlines, etc.  The new governor, who ran on a platform of changing the government’s ineffective way of doing things, has instructed you to set up a task force to determine the source of the problems and to rectify them.

Remember that what you are tasked with doing is to recommend a cure.  Nevertheless, for purposes of this paper, you also will need to discuss the applicable laws in order to the reasoning behind your recommendations.

Please work with the members of your task force (your classmates) to develop a plan to eliminate or ameliorate these problems.  As always, be sure to support your conclusions using an IRAC analysis of the applicable laws.

MPA 670 WK1 DISCUSSION – How to Solve Business Legal Cases

You are the City Manager for the City of Bliss, in the State of Arizona.  The City has contracted with an Arizona company, Removal Masters, Inc. (RMI), for weekly garbage removal.  RMI is a franchised operation, under a franchise agreement with the franchisor located in Texas.The Texas franchisor wants to file a lawsuit in Texas against RMI for breach of contract.  RMI claims that the Texas court has no personal jurisdiction over it.  The outcome of this case may affect the cost of City garbage services.Using the IRAC method of analysis described above in “How to Solve Business Case Problems,” explain why either the Texas state or Texas federal court (or, perhaps, neither) would have jurisdiction of this lawsuit? Two years into the project and millions of County development dollars later, Auto-Financial is ready for trials; the County has installed the software on its system and has begun implementing the switchover.  The County hopes to recoup some of its development costs by selling the software to other municipalities.  However, a problem has recently arisen. Jan, a computer programmer, left the County to join Fred, a programming consultant, to form their own company, Accounting Developers, which will develop a line of financial software tools aimed at government users.  In fact, Accounting Developers just announced the introduction of its first product, “Finance-Omatic,” which is quite similar to Auto-Financial.  Both Fred and Jan worked on the Auto-Financial program; however, there were no written employment or consulting contracts.The County believes Jan and Fred have stolen the County’s trade secrets, such as input and output requirements and forms, among other things, and are infringing on the County’s copyrighted computer programs.  The County is also concerned with the patentability of Auto-Financial, both in general and in light of the problems with Jan and Fred.Discuss all the IP issues in this case (copyrights, trademarks, trade secrets, and patents), including who owns what IP and why.  How could the County avoid such problems in the future?  Be sure to support your conclusions using an IRAC analysis of the applicable laws.
